Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Palatone web application, including any associated features, content, and services (collectively, the "Service"), operated by Palatone ("we," "us," or "our"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Palatone is a wellness and entertainment audio application that uses sound — including binaural beats, frequency-tuned music, and ambient soundscapes — to enhance taste experiences and mood states. Palatone includes two modes:

• Sonic Seasoning (Taste Mode) — Music designed to complement specific food and drink experiences, based on crossmodal sensory research.
• Mood Mode — Audio sessions designed to support focus, calm, energy, sleep, creativity, and meditation states.
• Neurosonos (Therapy Mode) — Audio sessions based on peer-reviewed research into 40 Hz sensory stimulation (GENUS), binaural beats, and related protocols.

3. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms. The Service is not directed at children under 13, and we do not knowingly allow children under 13 to use the Service.

4. Subscriptions and Payments

Free Access

Basic features of Palatone are available for free without registration.

Paid Subscriptions

Premium features may require a paid subscription. Subscriptions are billed on a recurring basis (monthly or annually, as selected at checkout). All payments are processed by Stripe.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You retain access to premium features until the period ends. We do not prorate partial periods.

Refunds

We offer refunds for the current billing period within 7 days of charge if you have not used premium features during that period. To request a refund, email support@palatone.app. Refunds are issued at our discretion for circumstances outside this window.

Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price change takes effect for existing subscribers.

5. Intellectual Property

All content, software, audio, design, and technology comprising the Service — including the Palatone name, audio engine, frequency profiles, and soundscapes — is owned by or licensed to Palatone and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, transmit, modify, create derivative works from, publicly display, or commercially exploit any part of the Service without our express written permission.

You retain ownership of any content you submit to the Service (such as your email address), but grant us a non-exclusive license to use it as described in our Privacy Policy.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract the audio engine or frequency profiles
• Use automated tools to scrape or access the Service at scale
• Interfere with the proper functioning of the Service
• Impersonate any person or entity
• Attempt to circumvent any access controls or payment requirements

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) any audio content will produce specific wellness or physiological outcomes; or (c) defects will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PALATONE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR PERSONAL INJURY.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify and hold harmless Palatone and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

10. Third-Party Services

The Service integrates with third-party services including Stripe (payments) and hosting infrastructure. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices of third-party services.

11. Termination

We may suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may update these Terms from time to time. We'll update the "Last updated" date at the top and, for material changes, notify users by email or in-app notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of competent jurisdiction in Delaware.
